Great Circle - KVC MO Merger
Nonprofit mergers don’t function the same way as for profit mergers, there are no shareholders looking to profit from the purchase of their interests in one of the companies. Instead, a nonprofit merger takes place when a Board of Directors votes to disband their board and transfer their assets to another entity. Great Circle’s Board of Directors chose to take these actions in 2023.
When you’re a consulting company, a retail operation, or nearly any sort of entity litigation is a dirty word. It’s never a good sign. However, in healthcare and human services it is more a fact of life than the rest of us would appreciate. Great Circle and KVC MO came to NMBL Strategies at a unique inflection point, the Great Circle Board of Directors had voted to disband their board and transfer their assets to KVC MO, but KVC MO wanted to make sure that any issues were resolved first. NMBL Strategies was hired to review and wind up and liabilities of Great Circle prior to the transfer of any remaining assets. This kept any issues on the Great Circle books and ensured as clean as possible of a transition. This well thought out strategy rarely takes place because typically an acquiring entity desires the assets and doesn’t want to wait, however, if one was drawing up a plan on how to handle a nonprofit merger this is the way to do it. This plan of action also made these consulting efforts, and desired experience, fairly unique, blending NMBL’s experience with both nonprofits and entity wind down’s NMBL became the perfect fit for this effort.
